Club By Laws

 5/1/2002 - These by-laws have been amended and rewritten, approved by the Board of Directors and General Membership.

 

Article 1

NAME AND PURPOSE

SEC 1

The name of this club shall be Pennsylvania Snowseekers snowmobile club, Inc.

SEC 2

The purpose of the Pennsylvania Snowseekers is to serve the interest of snowmobile owners, to defend such owners against discriminatory legislation and burdensome taxation, to stimulate a greater interest in snowmobiling among all local outdoor enthusiasts, to provide a medium for the exchange of snowmobiling information, to own or to lease property for clubs uses, and to develop more adequate trails.

ARTICLE 2

MEMBERSHIP

SEC 1

Membership in the club shall consist of (4) four classes:

a)      Regular membership

b)      Social membership

c)      Inactive

d)      Associate Membership

SEC 2

Regular membership is open to family and single enthusiasts residing in Allegheny, Armstrong, Beaver, Butler, Lawrence, Mercer, Venango, Washington and Westmoreland counties.

a)      Family membership shall consist of parents, (1) one of which is (21) twenty-one years of age or older and their children, until the children reach their 21st birthday, except as noted in Section 2d below.

b)      Single membership shall consist of any persons (21) twenty-one years of age or older.

c)      Each regular membership is entitled to (1) one vote.

d)      Children of family members may join as individual members upon reaching (21) twenty-one years of age or marry, and will not require to pay the initiation fee, if membership application is filed within (30) thirty days after 21st birthday or after marriage.

e)      A withdrawal card may be requested by children of regular members upon reaching (21) twenty-one years of age, or after marriage, or a maximum period of (5) five years, at a fee of $10.00 per year. After such time, if not already reinstated, a registered letter shall be sent by the secretary notifying the individual that he or she has (30) thirty days from date of receipt to request reinstatement as a regular member. During this period of withdrawal, the use of the club facilities shall be the same as a non-member.

f)        Subject to the approval of the Board of Directors, members can apply for a withdrawal card for $5.00 per year for personal reasons such as finances. During this period, the privileges of regular membership shall be forfeited. Max. – (5) five years.

g)      Members in good standing moving out of the (9) nine county area can automatically request withdrawal to inactive membership for $10.00 per year. During this period, the privileges of regular membership shall be forfeited.

h)      Children of a deceased club member may join as a regular member upon reaching (21) twenty-one years of age and will not be required to pay the going initiation fee.

SEC 3

Social membership shall consist of any individual (21) twenty-one years of age or older. The Board of Directors may establish the qualifications and rights of social members.

a)      Any Social membership shall not receive share in any of the club monies or property if the club reorganizes or disbands.

SEC 4

Application for regular membership shall be made in the following manner:

a)      A prospective member must attend (1) one regular business meeting and (1) one club sanctioned activity weekend at the Highland Haven clubhouse.

b)      A prospective member must own a snowmobile with current Pennsylvania Registration to be eligible for application.

c)      A prospective member must be sponsored by (3) three regular club members, who are in good standing.

d)      Upon satisfying the above requirements, an applicant may file an approved application form, which shall contain an agreement to abide by the by-laws and the pledge of the club.

e)      An application for membership along with the first year’s initiation fee and dues shall be forwarded to the Board of Directors should in turn will submit names to the Secretary with their recommendation at the next regular meeting. At this time, the names will be presented to the general membership for comment.

f)        A secret ballot will be taken, in writing, and a 2/3-majority vote of those present and in good standing will signify passage.

g)      There is a (3) three-year probation period. All new memberships will be required to earn (60) sixty credit points per year for each year of the (3) three-year probation period. The (60) sixty credit points may be earned or they may be paid at the value of $1.00 (one dollar) per point.

h)      A new member on probation must attend at least (3) three meetings per year. This may be any combination of regular, board, or committee meetings.

SEC 5

Application will be acted upon in the order received.

SEC 6

A member may resign from the club at any time upon notice in writing to the Secretary.

SEC 7

Termination of membership…cause of:

a)      Non-payment of dues and assessments.

b)      Failure to live up to the club pledge or oath.

c)      Actions detrimental to the club as a whole. Membership terminated for failure to live up to the club pledge and oath and actions detrimental to the club as a whole may be done by a (2/3) two-thirds majority vote of the members present at any meeting of the club, provide written notice of such intention is given at each regular member of the club.

SEC 8

Regular membership in the Pennsylvania Snowseekers Snowmobile Club, Inc. shall be limited to (100) one hundred memberships.

SEC 9

Associate Membership

a)      (12) Twelve on memberships from outlying counties outside of Allegheny, Butler, Beaver, Lawrence, Armstrong, Mercer, Venango, Washington and Westmoreland.

b)      Same dues as Regular membership $50.00 club, $15.00 State.

c)      Initiation fee $275.00 or $95.00 per year for (3) three years.

d)      All rights and obligations same as Regular membership except as

a.       No voting rights on elections of officers.

b.      Can’t hold office

c.       Must attend (2) two meetings per year.

d.      Credit points and work weekends same.

e.       The $50 per year club and PSSA dues are to be paid annually.

This associative membership is designed to give the opportunity to outlying snowmobilers, to have a club and a place to ride, with accommodations, and maintain room for base area increase in Regular membership.

ARTICLE 3

BOARD OF DIRECTORS

SEC 1

The Board of Directors shall constitute the executive board of the club and shall be responsible for the execution, through its officers, of the authorized policies of the club. It shall authorize all expenditures and shall not create any indebtedness beyond the income of the club, nor disburse funds for purpose non-essential to the object of the club. It shall approve all committees appointed by the President.

SEC 2a

The Board of Directors shall consist of (9) nine members, i.e., President, Vice President, Treasurer, Retiring President, Secretary and elected Directors. The Retiring President shall automatically become a member of the board for a period of (2) two years. Sufficient directors to be elected each year to maintain a (9) nine-man board. Any Past President can be an alternate board member.

SEC 2b

Any Directors who fails to attend (2) two consecutive meetings should come before the board for review.

SEC 3

(5) Five members of the board shall constitute a quorum at any meeting of the Board of Directors.

SEC 4a

Regular meetings of the Board of Directors shall be held monthly at a time and place designated by the President.

SEC 4b

(1/2) If, one-half hour after the time and place set, a quorum is not met, meeting may be cancelled.

SEC 5

Special meetings of the Board of Directors may be called by the President. Notice to be given in sufficient time to permit members to be present, taking into consideration the availability, transportation, work and other contributing factors.

ARTICLE 4

OFFICERS

SEC 1a

The elective officers of the club shall be President, Vice President, Treasurer, Recording Secretary and Directors. Husband and wife when applicable will equally share all elected offices of the club.

SEC 1b

Any officer who fails to attend (2) two consecutive meetings should come before the board for review.

SEC 1c

The Corresponding Secretary to be appointed by the President.

SEC 2

The officers shall be elected by the members at the regular meeting in may, with installation being held at the annual meeting in September. The officers shall hold office for the term of (1) one year, or until their successors shall have been elected and qualified.

SEC 3

The President shall preside at all meetings of the club and its Board of Directors. He shall be a member ex-officio of all committees. He shall carry out these and other responsibilities as assigned him by the by-laws and the Board of Directors. The President cannot be elected for more than (3) three successive years.

SEC 4

The Vice President shall, during the absence of the President, perform all duties of the President.

SEC 5

The Treasurer shall receive all monies and deposits it in a bank, in the name of the club, approved by the Board of Directors. All checks and vouchers must be signed by the Treasurer. He shall keep the members’ club records and a detailed record of club receipts and disbursements. He shall collect from members, and others, all monies due the club. He shall prepare and submit monthly financial reports to the Board of Directors and to the club. He shall aid in the auditing of the books, to be submitted to the Board of Directors and to the club at the end of the fiscal year. The books shall be open for inspection by the membership for a period of (30) thirty days following the audit.

SEC 6a

The Recording Secretary shall keep the general club records, including minutes of the club and board meetings, committee appointments and officers list.

SEC 6b

The Corresponding Secretary shall handle all club correspondence, including sending notices of meetings and special events.

SEC 7

Vacancies in any elected office, with the exception of the President, may be filled by the members at any meeting of the club at which a quorum is present. The successor so chosen shall serve for the unexpired term of his predecessor. The President vacating will automatically be replaced by the Vice President.

SEC 8

Members must attend a minimum of (7) seven regular membership meetings out of the previous (12) twelve months in order to be eligible to hold an elected office, and must have been a member in good standing for no less than (1) one year.

ARTICLE 5

FISCAL YEAR

SEC 1

The fiscal year of the club shall run from January 1 to December 31.

ARTICLE 6

BUDGET

SEC 1

A proposed budget covering the total anticipated expenditures for the coming fiscal year shall be submitted to the Board of Directors at the annual meeting by the Treasurer. It shall be considered and may be approved with or without revision. No member will be reimbursed for any money spent for club purposes without first rendering a bill for sale, the amount not to exceed $15.00. The Treasurer shall be allowed the sum of $10.00 petty cash. If and when the club funds reach $1,000.00 the Treasurer shall be bonded for said amount. The Board of Directors shall approve the surety company in which the Treasurer is to be bonded. Costs of said bond is to be paid from clubs funds.

SEC 2

An annual audit of the clubs assets shall be performed by an audit committee appointed by the President, (90) ninety days following the end of the term of office.

SEC 3

Monies over $250.00 Two-hundred and fifty dollars must be approved by the Board of Directors.

ARTICLE 7

DUES

SEC 1

Dues are payable to the Treasurer on July 15 and no later than September 15, and if not paid by September 15th, written notice will be sent by registered letter. If a registered letter is sent, the member receiving the letter will be charged an additional ($) dollar amount to be decided on yearly for postage. If dues have not been paid within (30) thirty days from the date of receipt, said members will be unable to participate in any club activity and his name will be dropped from the roll. In order to be reinstated former member must be accepted by the membership, providing the membership is not full, and all prior obligations are met.

SEC 2a

Dues for each regular membership of the club shall be $110.00 per year, plus the PSSA dues. The amount of $50 plus the PSSA dues shall be due as stated in Article 7 Section 1 above. The remaining $60.00 is not due until September 30th of the following year. Members have the option of earning credit points through club projects to offset the $60.00 or to pay the $60.00 when due. If partial credit points are earned, then the difference shall be due.

SCHEDULE OF CREDITS POINTS

  1. Club Officers, Board of Directors, Corresponding Secretary, Committee Chairman, Chairman of moneymaking projects $60.00 Credit Points

  2. Active committee members $15.00 Credit Points

  3. All raffle ticket sellers 20% of ticket values sold

  4. Work days at Highland, per day (due to distance traveled) $10.00 Credit Points

  5. Work days in local area, per day $5.00 Credit Points

  6. Attendance credit points (max. credit points $30.00 per year) $2.00 Credit Points per meeting

This includes membership meetings, Board of Directors meetings, Committee meetings and special meetings called.

 

Committee Chairperson is responsible to report and record member credits earned. The Board of Directors to have the authority to revise the schedule of credits and also the assessments for the use of the club building, when and if necessary.

SEC 2b

The President shall be exempt from paying club and state dues.

SEC 2c

Subject to approval by the Board of Directors, members on active duty in the military service or attending school full time, shall be required to pay an annual dues of $10.00 per year until completion of military service or school. During this period, the privileges of regular membership shall be forfeited.

SEC 3

There shall be an initiation fee of $100.00 per year for (3) three years. The first year initiation fee must accompany an application. The second and third year initiation fees may be paid in monthly payments during their respective years, or paid in full by their anniversary date.

a)      For members on probation, the annual dues shall be $50.00 per year, plus the PSSA dues, plus points.

b)      Any regular membership dues increase shall be added proportionately to Section 3a above.

SEC 4

Social membership dues are $10.00 per year.

SEC 5

Inactive dues are $10.00 per year.

ARTICLE 8

MEETINGS

SEC 1

The annual meeting of the member of the club shall be the first meeting of September.

SEC 2a

Regular meetings of the member of the club will be held on the (1st) first Thursday of the month and may be changed each month depending on which is for the betterment of the club.

SEC 2b

Regular business meetings must be held in Butler, Beaver, Lawrence or Allegheny Counties

SEC 3

Notice of the place, hour, date of all meetings of the membership of the club shall be given to all members by the Corresponding Secretary.

SEC 4

Special meetings of the members of the club may be called only by the President. The meetings shall be given (3) three days notice, stating the purpose of the meetings, time, place and date of said meeting. The meeting shall be confined to the purpose given with the notice.

SEC 5

(10%) ten percent of the number of the club plus (4) four elected officers shall constitute a quorum at a regular meeting.

SEC 6a

If, at the designated time of the meeting, the required number of officers are not present, the President shall have the power to fill the vacancies from the membership. These appointments are to remain throughout the meeting. Any action pertaining to club policies to be approved by the elected Board of Directors.

SEC 6b

(1/2) one half hour after the time and place set, a quorum is not met, the meeting may be cancelled.

ARTICLE 9

AMENDMENTS

SEC 1

These by-laws may be amended at any general membership meeting of the club by a (2/3) two-thirds majority vote of the members present providing a notice of such meeting is mailed to all general membership members of the club (7) seven days in advance of meeting.

ARTICLE 10

PARLIAMENTARY AUTHORITY

SEC 1

The rules contained in Robert Rule of Order, revised, shall govern the club in all cases to which they are applicable and in which they are not inconsistent with these by-laws.

Chairperson of all standing committees shall be appointed by the President.

SEC 1c

Committees shall be added or deleted as needed by the President.

ARTICLE 12

FLOWERS FOR MEMORIAL

SEC 1

Flowers of a memorial are to be sent to the funeral of any regular member’s husband, wife, son, and daughter residing with the member. Members of the club are to notify the Secretary at once of any death.
